Please read these Terms of Service (“Terms” or “Agreement”) carefully before using the Services provided by Pointmap.

1. Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms:

  • “Company” (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Pointmap.
  • “Services” refers to the Pointmap website (pointmap.io), the Pointmap application on the web, phone and tablet, the Pointmap connectors for AI assistants, and any related software, APIs or services.
  • “Account” means the account You create to use the Services, including the users You invite to it.
  • “Job” means a project in the Services, with its drawings and the people who can see it.
  • “Customer Content” refers to anything You or Your users put into the Services, including drawings, plans, specifications, photos, points, checks, markups, measurements, takeoffs, templates and comments.
  • “Collaborator” means a person outside Your organization, such as a subcontractor, general contractor, inspector or owner, whom You invite to a Job.
  • “AI Assistant” means a third-party AI product, such as ChatGPT or Claude, that You connect to the Services.
  • “Third-Party Services” refers to external platforms and services that You use with Pointmap, including AI Assistants.
  • “Device” means any device that can access the Services such as a computer, a cellphone, or a digital tablet.
  • “You” means the individual accessing or using the Services, or the company or other legal entity on behalf of which such individual is accessing or using the Services, as applicable.

2. License Grant

Subject to Your compliance with this Agreement, We grant You a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for Your internal business purposes
  • Upload Your drawings, place and check points, and share Jobs with Your crew and Collaborators
  • Access documentation and educational content provided through the Services

3. License Restrictions

You agree NOT to:

  • Copy, modify, distribute, sell, or lease any part of the Services
  • Reverse engineer, decompile, or disassemble the Services except as permitted by law
  • Upload drawings, photos or other content You do not have the right to use
  • Attempt to gain unauthorized access to any portion of the Services or related systems
  • Use the Services in any way that violates applicable laws or regulations
  • Share Your login with others instead of giving each person their own seat
  • Use automated means to access the Services beyond the documented connectors and APIs
  • Remove, alter, or obscure any proprietary notices in the Services
  • Use the Services to transmit malicious code or interfere with other users

4. Acknowledgment

Your access to and use of the Services is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.

By accessing or using the Services You agree to be bound by these Terms. If You disagree with any part of these Terms then You may not access the Services.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Services.

Your access to and use of the Services is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Please read Our Privacy Policy carefully before using Our Services.

5. Accounts, Crews and Collaborators

Account Responsibility

You are responsible for maintaining the confidentiality of Your login and for everything that happens under Your Account. You agree to notify Us immediately of any unauthorized use of Your Account.

Your Users

The person who creates an Account is its owner. The owner decides who joins, what they can see and do, and when they leave. You are responsible for the people You invite, including crew members and Collaborators, and for their use of the Services.

Sharing a Job

When You invite a Collaborator to a Job, they can see the drawings, points, photos and comments You share with them. Collaborators who have their own Pointmap account use the Services under these Terms. You decide what to share; remove a Collaborator to stop sharing.

Data Accuracy

You are responsible for the accuracy and completeness of Customer Content submitted to the Services.

6. Your Drawings, Photos and Records

Rights to What You Upload

Drawings are often owned by the architect, engineer or owner who produced them. By uploading a drawing You confirm that You have the right to use it for the Job, and that the photos You upload were taken with the permission the site and the law require.

Records Are Yours to Verify

Pointmap helps You track and show the work. It is not an inspection, a certification or a guarantee that work meets the drawings, the specifications or the building code. Measurements and takeoffs depend on the scale You set and the drawing You upload; check them before You rely on them for a bid, an order or an install. You remain responsible for the work, for your own professional judgment, and for meeting your contract.

Working Offline

The Services keep working without signal and sync when a connection returns. Content that has not yet synced lives only on the Device. We are not responsible for content lost from a Device before it synced.

7. AI Assistants

Connecting an Assistant

You may connect an AI Assistant to Your Account so it can read Your drawings and add or update points for You. When You do, the AI Assistant receives the Customer Content needed for the task, and its provider handles that content under its own terms and privacy policy, not Ours.

Review What It Does

AI Assistants make mistakes. Points, fields and summaries an AI Assistant creates are Customer Content You are responsible for; review them before You rely on them. You can disconnect an AI Assistant at any time.

8. Third-Party Services

Third-Party Terms

Your use of Third-Party Services through Pointmap remains subject to those services’ own terms and conditions. We are not responsible for the availability, functionality, or terms of Third-Party Services.

No Endorsement

Integration support does not constitute endorsement of any Third-Party Service. We are not affiliated with the providers of Third-Party Services unless explicitly stated.

9. Intellectual Property

Our Rights

The Services, including all software, content, designs, logos, and documentation, are owned by Pointmap and protected by intellectual property laws. This Agreement does not transfer any ownership rights to You.

Your Content

You retain ownership of Your Customer Content. By using the Services, You grant Us a limited license to host, copy, process and display Your Customer Content solely as necessary to provide the Services to You and the people You share it with.

Feedback

Any feedback, suggestions, or ideas You provide regarding the Services may be used by Us without obligation or compensation to You.

Our Services may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

11. Service Availability and Modifications

Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may perform maintenance, updates, or modifications that temporarily affect availability.

Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will make reasonable efforts to notify You of significant changes.

Updates

We may update the Services from time to time. Continued use constitutes acceptance of updates.

12. Fees and Billing

Pricing

Paid plans are priced per crew, with a set number of seats included and a per-seat price for each person after that. Current pricing is available on Our website and may be subject to change with notice.

Billing

Subscriptions are billed monthly in advance through Our payment processor and renew automatically until canceled. Prices exclude taxes, which are added where the law requires. If a payment fails, We may suspend the Account until it is paid.

Canceling

You can cancel at any time. Cancellation takes effect at the end of the current billing period.

13. Termination

Termination by You

You may stop using the Services at any time. To close Your Account, cancel Your subscription or contact Us at the email provided below.

Termination by Us

We may suspend or terminate Your access to the Services immediately, without prior notice, if:

  • You breach any provision of this Agreement
  • We are required to do so by law
  • We discontinue the Services

Effect of Termination

Upon termination:

  • Your license to use the Services ends immediately
  • You must cease all use of the Services
  • We may delete Your Customer Content after a reasonable retention period
  • Provisions that by their nature should survive will remain in effect

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POINTMAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCLUDING THE COST OF REWORK, CALLBACKS, DELAYS OR BACKCHARGES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these jurisdictions, each party’s liability will be limited to the greatest extent permitted by law.

15. “AS IS” and “AS AVAILABLE” Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Services will meet Your specific requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • Measurements, takeoffs, or content created by an AI Assistant will be accurate or reliable
  • Any errors in the Services will be corrected

Without limiting the foregoing, neither the Company nor any of the Company’s providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Services, or the information, content, and materials or products included thereon; (ii) that the Services will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Services; or (iv) that the Services, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

16. Indemnification

You agree to indemnify, defend, and hold harmless Pointmap, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services
  • Your violation of this Agreement
  • Your violation of any third-party rights, including the rights in drawings and photos You upload
  • Your Customer Content or Your use of Third-Party Services through the Services

17. Governing Law and Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to its conflict of law provisions.

Informal Resolution

Before initiating formal proceedings, You agree to contact Us and attempt to resolve any dispute informally for at least thirty (30) days.

Jurisdiction

Any legal proceedings shall be brought in the courts of the jurisdiction in which the Company is registered, and You consent to personal jurisdiction in those courts.

18. Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

19. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect.

By continuing to access or use Our Services after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Services.
